Meeting Management and Minute Taking

A well planned board meeting helps ensure effective board minutes are captured. Board meetings and minutes are a tangible record of the meeting for the board of directors and a source of information for those who were not able to attend. If the Board Chair and the Secretary work together to ensure that the agenda and meeting are well thought out, then capturing the minutes becomes a lot easier. This workshop is designed to help board members work as a team to improve the quality of its meetings and ensure what transpired within the meeting is recorded in an appropriate format and level of detail.

Learning Objectives:

  • Common meeting guidelines, including rules of order
  • The role of the board chair and secretary
  • Steps to preparing for a board meeting
  • Types of meetings and the best style of minutes for these meetings
  • Identifying various styles of decision-making, including the consensus process
  • In-camera meetings and how to record these minutes
  • How to record action items in the minutes

Juanita DeSouza-Huletey is a highly accomplished professional, entrepreneur, and advocate for inclusive change. As the Founder, CEO, and Lead Coach of Dynamic Solutions International Inc. (DSI), she brings over 25 years of leadership expertise in information technology, project management, and governance frameworks. Her career highlights include serving as the Divisional Head of Information Technology at the Winnipeg Police Service, where she led transformative, cost-saving initiatives across multiple departments.

Juanita is an active leader on multiple boards and advisory councils. She serves as a member of the Board of Governors at the University of Manitoba, appointed to the Manitoba Advisory Council on Economic Immigration and Settlement, and as an Industry Advisor on different committees at Red River College Polytechnic. In addition, she is a founding member and Board Advisor for Women in Cybersecurity (WiCyS) Western Canada, furthering her commitment to advancing women in STEM fields.

As an educator, Juanita has taught in postgraduate programs at the University of Winnipeg and Red River College, and she regularly delivers leadership and development workshops for nonprofit and corporate organizations. Her passion for Equity, Diversity, Inclusion, and Belonging (EDIB) drives her work, with a focus on fostering inclusive spaces through workshops, keynote speeches, and mentorship programs. She also dedicates her efforts to uplifting marginalized communities, coaching immigrant professionals, and empowering women and girls in STEM.

Juanita holds a master's degree from the University of Manitoba, with advanced Ph.D.-level studies, and earned an undergraduate degree with double honors from the University of Ghana. In addition to her academic achievements, she holds multiple professional certifications and has published papers internationally.

Her commitment to volunteering is reflected in her leadership of initiatives such as Folklorama, Africa Fest Business Networking, and various fundraising efforts. Known for her integrity, accountability, and ability to exceed expectations, Juanita inspires others to reach their full potential. Happily married and a proud mother of three adult sons, Juanita has lived in Canada for over 30 years. She embraces every opportunity to make a meaningful difference within her community and beyond, shaping a more inclusive and equitable future.
